1. Introduction

Welcome to Handy Receipts, a mobile application and related website owned and operated by Neuroceptive Technologies LLP, a limited liability partnership registered under the laws of India. These Terms and Conditions ("Terms") govern your access to and use of the Handy Receipts mobile application (the “App”),our merchant Windows Companion application (the "Software"), and any associated website or digital interface (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any of these Terms, you must immediately discontinue use.

2. Definitions

• “Consumer” or “User”: An individual using the mobile App or Web platform to receive and view receipts.
• “Merchant”: A business entity using our Windows Software to generate and send interactive digital receipts.
• “Content”: Receipts, coupons, promotional offers, and data transmitted via our platforms.

3. Merchant SaaS & Subscription Terms

The following terms apply specifically to B2B Merchants using our interactive receipt generation platform:

• 14-Day Free Pilot: We offer a 14-day free trial for merchants to integrate and test the Software alongside their existing POS system.
• Subscription Fees: After the pilot, the subscription fee is ₹1,200 for the first year. The second year onward will transition to a pay-per-receipt or alternate subscription model.
• Refunds: Because a free trial is provided, all subscription payments made after the pilot are final and non-refundable (please see our Refund Policy for details).
• Merchant Responsibility for Consent: The Merchant is solely responsible for obtaining explicit consent from their customers before sending digital receipts via WhatsApp, SMS, or Email. Neuroceptive Technologies LLP acts only as a technology provider and accepts no liability for spam complaints, carrier penalties, or privacy violations resulting from a Merchant's failure to obtain proper customer consent.

4. Consumer App Services & Third-Party Content

For Consumers using our mobile App or Web platform:

• The App or Web platform enables you to view receipts and promotional offers from verified third-party merchants.
• We do not guarantee the completeness, pricing, or authenticity of any receipt or coupon, as these are provided directly by the issuing Merchant.
• Users must interact directly with the Merchant for any disputes regarding products, services, or coupon redemptions. We are not liable for any interactions between Consumers and Merchants.

5. Prohibited Conduct

All users (Merchants and Consumers) agree not to:

• Upload or transmit any viruses, malware, or harmful code.
• Reverse engineer, decompile, or attempt to extract the source code of the App or Web platform or Windows Software.
• Use the platform to distribute unsolicited promotional material (spam) without user consent.
• Interfere with the integrity or performance of the platform.

6. Intellectual Property

All intellectual property including the design, code, and trademarks of Handy Receipts are owned by Neuroceptive Technologies LLP. Unauthorized reproduction is strictly prohibited and may result in civil or criminal liability.

7. Limitation of Liability & Warranties

• The Services are provided on an “as is” basis without warranties of any kind. We do not guarantee 100% uninterrupted uptime.
• To the maximum extent permitted by law, Neuroceptive Technologies LLP shall not be liable for any indirect, incidental, or consequential damages, or any loss of revenue/profits.
• Our aggregate liability for any claims from Consumers shall not exceed INR 1,000. Our liability to Merchants shall not exceed the subscription amount paid in the preceding 12 months.

8. Indemnification

You agree to indemnify, defend, and hold harmless Neuroceptive Technologies LLP and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, losses, damages, penalties, or expenses arising out of:

• Your use or misuse of the Platform.
• Violation of these Terms.
• Violation of any law or third-party rights.

9. Suspension or Termination

We may suspend or terminate your access to the Platform at any time without notice if:

• You breach any provision of these Terms.
• Required by law enforcement or court order.
• The Platform is discontinued.

Upon termination, all licenses granted to you shall terminate, and your right to use the Platform will cease.

10. International Use

If you access the Platform from outside India, you do so at your own risk and are responsible for compliance with the local laws of your jurisdiction. We do not represent that the Platform or its features are available or legally permissible in other countries.

11. Force Majeure

We shall not be liable for any delay or failure in performance due to events outside our reasonable control including acts of God, natural disasters, war, terrorism, civil unrest, labor strikes, government actions, internet failures, or other unforeseen circumstances.

12. Changes to the Terms

We may revise these Terms at any time. When we do, we will update the “Last updated” at the top of the document. It is your responsibility to review these Terms periodically. Continued use of the Platform after any such changes shall constitute your consent to the modified Terms.

13. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable under applicable law, the remaining provisions shall remain valid and enforceable.

14. Entire Agreement

These Terms, along with our Privacy Policy and any other applicable terms or disclaimers available on handyreceipts.co.in and neuroceptive.co.in, constitute the entire agreement between you and Neuroceptive Technologies LLP with respect to the Services and supersede all prior or contemporaneous communications. These documents are intended to be interpreted cumulatively to fully reflect the intentions and protections of Neuroceptive Technologies LLP.

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. You agree that all disputes shall be subject to the exclusive jurisdiction of the competent courts located in Gandhinagar, Gujarat, India.
